Terms of Service

The terms under which a school uses SingDesk: account, acceptable use, fees, suspension, closure, data export and liability.

Version of 25 October 2026

In this document

1. Parties and scope

These Terms govern the use of SingDesk, a management service for music and singing schools provided by [entity name], tax number [tax number], registered at [registered address] (the "Provider"), to the organisation for which a school is created on the platform (the "Customer" or the "School").

The Terms are accepted when the school is created at signup or, for a school created by the Provider on request, when the Customer's owner account is activated. The person who accepts them declares that they are authorised to bind the Customer.

The Data Processing Agreement forms part of these Terms. The Provider's own handling of personal data is described in the Privacy Policy.

SingDesk is intended for professional use by schools and teachers. It is not offered to consumers.

2. Definitions

  • Platform: the SingDesk software and the infrastructure that runs it, including the school's public page, the backoffice and the student portal.
  • Users: the people the Customer gives access to the backoffice (owner, office staff and teachers).
  • Students and guardians: the people the Customer registers and to whom it may give access to the student portal.
  • Customer Data: everything the Customer, its Users, students and guardians enter or upload to the Platform.

3. Account and access

The Customer keeps the information it gives the Provider accurate, and is responsible for whom it invites, which role each User has and for all activity under its accounts.

Each User keeps their credentials confidential. Two-step verification is available to every User and is recommended for the owner. The Customer tells the Provider without delay of any unauthorised use it becomes aware of.

The Provider's operators do not enter a school's backoffice without the owner's permission, granted on the Platform for a limited period, except where strictly necessary to protect the security of the Platform or to comply with a legal obligation. Every support access is recorded in the school's audit log.

4. Trial period

A new school may start with a free trial of 30 days, with no card and no automatic charge. When the trial ends without the school having been activated, the school becomes read-only: Users still sign in, consult and export everything, but no new records are created and no emails are sent. The Provider may extend a trial at its discretion.

5. Fees

Paid use is charged according to the price list in force when the plan is taken up. Prices are monthly and exclude VAT at the applicable rate.

No amount is charged without the Customer first having agreed the plan, the price and the billing terms with the Provider. Changes to the price of a plan in use are announced at least 30 days in advance; the Customer may terminate before they take effect.

6. Acceptable use

The Customer and its Users shall not:

  • use the Platform for any unlawful purpose or in breach of the rights of third parties, including data protection, intellectual property and image rights;
  • upload content that is unlawful, defamatory or offensive, or that contains malware;
  • send unsolicited marketing communications through the Platform;
  • try to access data of another school or another account, test the Platform's security without the Provider's written authorisation, or circumvent its limits and protections;
  • overload the Platform deliberately, or access it by automated means other than the features it offers;
  • resell or make the Platform available to third parties outside the Customer's own school.

7. Customer Data and data protection

Customer Data belongs to the Customer. The Provider uses it only to provide, secure and support the Platform, as set out in the Data Processing Agreement.

For the personal data of its students, guardians, teachers and contacts, the Customer is the controller and the Provider is its processor. The Customer is responsible for having a lawful basis for that processing, for informing the data subjects (namely through the school's own privacy page) and, where consent is the basis for processing the data of children under 13, for obtaining it from those with parental responsibility.

Data the Customer should not need — such as health data beyond what is necessary for teaching — should not be recorded on the Platform.

8. Availability and support

The Provider makes reasonable efforts to keep the Platform available, secure and working, but does not guarantee uninterrupted or error-free operation and offers no service level. Maintenance is, where possible, done at times of low use and announced in advance when it is expected to cause a noticeable interruption.

Support is given by email to hello@singdesk.com, on working days and on a best-effort basis.

The Platform may change over time. The Provider will give reasonable notice before removing a feature in substantial use.

9. Intellectual property

The Platform, its software, design and documentation belong to the Provider or its licensors. The Customer receives a non-exclusive, non-transferable right to use it while these Terms are in force.

The Customer keeps all rights over Customer Data and grants the Provider only the permission needed to host, copy and display it in order to provide the Platform.

10. Suspension

The Provider may suspend a school's access if the Customer seriously breaches these Terms, if a payment due remains unpaid 15 days after notice, if there is a risk to the security of the Platform or of other schools, or if required by law or by a competent authority.

Except where urgency prevents it, the Provider notifies the owner in advance and gives a reasonable period to remedy the situation. While a school is suspended nobody signs in and its sessions stop; its data is kept and access is restored as soon as the cause has been resolved.

11. Duration, closure and data export

These Terms remain in force until the school is closed.

Export. At any time, including during suspension or in read-only mode, the owner may request a complete export of the school (Your school → Data → Request full export). The Platform prepares one zip file with all the school's records in JSON and CSV and every uploaded file, and notifies the owner when it is ready; the file can be downloaded only by the owner, on the Platform, for 72 hours.

Closure by the Customer. The owner may ask for the school to be closed at any time (Your school → Data → Close the school) or by email, and may withdraw the request until the Provider acts on it. The Customer should download its export first.

Closure by the Provider. The Provider may end these Terms with 30 days' notice, or immediately in case of serious breach. In either case the owner can still export the data during the notice period.

After closure nobody signs in, the school's addresses show a neutral page that does not name it, and nothing is sent or run on its behalf. The data is kept for 30 days, during which the school can be reopened, unchanged, at the owner's request. When that period ends, every record and every file of the school is permanently deleted. All that remains is a minimal record that the school existed: its internal identifier, its address on the platform, the dates of the request, closure and deletion, and how many records and files were deleted.

Backups. The database is copied every night and the files likewise; on the server the copies are kept for 7 days (daily), 4 weeks (weekly) and 6 months (monthly), and encrypted copies of them are kept off the server for up to 12 months. Data deleted from the Platform therefore disappears from every backup as they rotate, at the latest about 18 months after the deletion. Backups are used only to recover from an incident; if one ever has to be restored, schools already deleted are deleted again before the service resumes.

12. Liability

To the extent permitted by law, the Provider is not liable for indirect or consequential damage, loss of profit, revenue or goodwill, nor for loss of data that the Customer could have avoided by exporting it.

The Provider's total liability under these Terms is limited to the amounts paid by the Customer in the 12 months before the event that gave rise to it.

Nothing in these Terms excludes or limits liability for intent or gross negligence, or any liability that cannot be excluded or limited under applicable law.

13. Communications

Notices to the Customer are sent to the owner's email address or shown on the Platform. Notices to the Provider are sent to hello@singdesk.com.

14. Changes to these Terms

The Provider may change these Terms. Substantial changes are notified to the owner at least 30 days before they take effect. If the Customer does not agree, it may close the school before that date; continued use afterwards means acceptance.

15. Governing law and jurisdiction

These Terms are governed by Portuguese law. Any dispute is settled by the courts of the district of the Provider's registered office, without prejudice to mandatory rules on jurisdiction.

These Terms are written in Portuguese; this English version is a translation, and the Portuguese version prevails in case of difference.
